Job Description
Senior Corporate Asset Management Lawyer – (job location: Washington, DC; employer: Fried, Frank, Harris, Shriver & Jacobson LLP) – Oversee legal and operational aspects of cross-border asset management corporate transactions involving funds with capitalization of at least $500 million per fund, including formation, offering and ongoing operations of U.S. and non-U.S. private equity funds, hedge funds, distressed and high-yield funds and sector funds, funds of funds and separate managed accounts. Negotiate key agreements with institutional investors and their respective counsels. Serve as main contact for clients. Attend pitch meetings for new prospective clients. Advise corporate clients on securities law and regulatory compliance issues (including investor qualification and documentation and state securities laws) in U.S., Canada, U.K., EEA, Cayman Islands, and other countries. Review private placement memoranda and other offering documents, limited partnership agreements and other governing documents, side letters, subscription agreements, investment management agreements and transfer agreements. Manage junior and mid-level associate attorneys and train them in conducting sophisticated research and analysis of legal issues related to representation of investment managers and private funds. Requirements:   Juris Doctor (J.D.) or Master of Laws (LL.M.), plus three (3) years of experience in the position offered or as an Associate Attorney at an international law firm with at least $950 million in annual revenue. All of the required experience must have included experience with: leading market-leading asset managers on fund formation, preparing key documents such as offering materials, governing agreements, subscription materials and advisory agreements in connection with the launch of a fund, in each case related to cross-border offerings at private investment funds; preparing private placement memoranda, limited partnership agreements, side letters, subscription agreements, investment management agreements, and transfer agreements; handling regulatory filings such as Form D and Bluesky filings; reviewing subscription agreements to ensure compliance with U.S. Securities Act of 1933 and Investment Company Act of 1940; and directly communicating with clients and broad investor base including high net worth individuals. Must be admitted to D.C. Bar. This role entails hybrid work, with time split between working in our Washington, D.C. office and flexibility to telecommute from another U.S. location. Salary: $345,000/year. Email résumé to John Newsom at John.Newsom@friedfrank.com.
